RIDGEWAY LADIES GOLF ASSOCIATION CONSTITUTION
ARTICLE I NAME
The name of this organization shall be Ridgeway Ladies Golf
Association (and for purposes of this document “RLGA” or the “Association”).
ARTICLE II OBJECTIVE
The objective of the organization is to promote golf, good fellowship and friendly competition among all women golfers of Ridgeway Country Club.
ARTICLE III MEMBERSHIP
Membership in Ridgeway Ladies Golf Association shall include any woman who is a golfing member, honorary golf member, enhanced
social member, spouse or partner of a golfing member, wishes to participate and is in good standing with Ridgeway Country Club.
ARTICLE IV ORGANIZATION
This Association shall be governed by a Board of Directors consisting of a President, Vice-President, Secretary, Treasurer, immediate
Past-President, one representative from the nine-hole league, one representative from the eighteen-hole league and the Member Guest Chairman.
All officers except the President, shall have one vote. The President shall vote only in the case of a tie.
ARITICLE V MEETINGS
The Board of Directors of the Association shall have at least three meetings: one in January to plan a calendar of events for the year, one prior to opening Play Day in the spring and one prior to the closing Play Day in the Fall. The membership of the Association shall have two meetings during the golf season: one on the opening day of the golf season and one on the closing day.
ARTICLE VI OFFICERS
The officers of this Association shall be President, Vice-President,
Secretary and Treasurer.
ARITCLE VII AMENDMENTS
Amendments to this Constitution may be made at any membership meeting at which a quorum is present, by a two-thirds majority vote of those present and voting, provided the membership has been informed in writing of the amendments to be presented 30 days in advance of the meeting. A quorum shall consist of a minimum of 15 members.
RIDGEWAY LADIES GOLF ASSOCIATION BY-LAWS
ARTICLE I MEMBERSHIP
SECTION 1 ELIGIBILITY
Any woman who is a golfing member, honorary golf
member, enhanced social member spouse or partner of a golfing member and who wishes to participate shall be
eligible for membership.
SECTION 2 MAINTAINING MEMBERSHIP
A member shall maintain her membership in the Ridgeway Ladies Golf Association by remitting the amount of the
current dues each year to the Treasurer of the Association. Membership dues shall not be refunded or prorated under any circumstance.
SECTION 3 HONORARY MEMBERS
An Honorary Membership may be awarded to a member who has demonstrated outstanding leadership, dedication and/or who has brought recognition to the Association. Yearly dues will be waived for life. Only one member may be so designated during a calendar year. The President may appoint a committee of three Past-Presidents who will determine whether any member should be considered for an Honorary Membership. If the committee agrees upon selecting a candidate for an Honorary Membership, the candidate must then secure a two-thirds vote of
approval by the Board of Directors.
ARTICLE II BOARD OF DIRECTORS
SECTION 1
The Board of Directors shall consist of the President, Vice-President, Secretary, Treasurer, the immediate
Past-President, a nine-hole Representative, an eighteen-hole Representative and the Member Guest Chairman.
SECTION 2
The nine and eighteen-hole Representatives and the Member Guest Chairman shall be appointed by the incoming President after the fall membership meeting.
ARTICLE III OFFICERS
SECTION 1
The officers of this Association shall be President,
Vice-President, Secretary and Treasurer. The Officers shall be elected at the fall membership meeting and shall begin serving their term after the meeting. All officers may serve more than two years except for the President, who may serve no more than two years in succession.
ARTICLE IV DUTIES OF OFFICERS AND BOARD MEMBERS
SECTION 1 PRESIDENT
The President shall preside at all business meetings of the
Association, preserve order, see that the Constitution and
By-Laws are observed and discharge all duties usual to her office. She shall appoint a nine and eighteen-hole
Representative and a Member Guest Chairman. She shall appoint two representatives to serve on the Board of the Memphis Area Women’s Golf Association. She shall be an ex-officio member of all committees except the nominating Committee. Together with the Treasurer, she shall
prepare a budget for the Association to be approved by the Board of Directors. In January she shall arrange a meeting with the club golf professional and select dates for the coming year. Also in January, she will call a board meeting to plan the yearly calendar and any other
necessary business.
SECTION 2 VICE-PRESIDENT
In the absence of the President, the Vice-President shall
perform the President’s duties. She shall serve as ex-officio of all committees except the Nominating Committee. She shall be
responsible for planning and conducting all scheduled special events or appointing a committee to do so. She shall be
responsible for the annual RLGA Championship tournament, including the purchase of prizes in accordance with the budgeted amount. She shall be responsible for selecting the outgoing President’s gift to be purchased and presented at the final event of the year.
SECTION 3 SECRETARY
The Secretary shall keep a faithful record of all meetings of the Board of Directors and the Ridgeway Ladies Golf Association. She shall provide the President and board members with a copy of all minutes of meetings and shall remind the President of any business to come before the Board.
SECTION 4 TREASURER
The Treasurer shall collect dues from members, inform the Ridgeway Accounting Department of any member wishing to have her dues billed to her account, keep an accurate record of all financial business of the Association and maintain a
minimum cash reserve of $500 at year end. Together with the President, she shall set a budget for the upcoming year. She shall prepare, present the budget to the Board for approval at the spring meeting and report the approved budget to the
Opening Day membership meeting. The Treasurer shall also be responsible for compiling the directory to be presented at the opening event of the year.

Association, help set dates for all special events and maintain good communication with their respective league members throughout the year. The eighteen and nine-hole
representative shall be responsible for the posting in the league score book of all scores of her league’s players on regular play days and shall keep an accurate account of the attendance and points won.
SECTION 6 MEMBER GUEST CHAIRMAN
The Member Guest Chairman, along with the President and club golf professional, will set the date for the member guest tournament. She shall choose members within RLGA to help organize the event. She shall be responsible for purchasing prizes, soliciting hole sponsors, selecting the tournament
format and organizing the luncheon following play.
ARTICLE V DUTIES OF COMMITTEES
SECTION 1 NOMINATING COMMITTEE
The Nominating Committee shall consist of the three
immediate past Presidents of the Association. The
Nominating Committee shall meet prior to the fall meeting of the RLGA to select a slate of officers to be presented for election at the closing event.
ARTICLE VI HANDICAPS AND SCORING
SECTION 1
United States Golf Association (USGA) rules govern all play, except where local rules apply. Members must possess an active USGA/GHIN Handicap Index.
SECTION 2
All members must submit signed, dated and attested
scorecards after Play Day rounds. Post scores for handicap
purposes for Play Day rounds. Members should post scores for all other rounds for handicap purposes in
accordance with USGA rules.
SECTION 3
The eighteen and nine-hole representative shall post all Play Day scores and results on the locker room bulletin board and keep an accurate account of the attendance and points won. They shall inform the President, or her designee, two weeks prior to the end of the season of the names of all members who are eligible for play day points and the amount they are due. The amount awarded for play day points shall be
determined by the amount designated in the budget.
ARTICLE VII DUES AND TOURNAMENT FEES
Annual dues shall be determined at the opening meeting of the Board each year. Dues shall be payable in full prior to the
participation in any competition under the auspices of the
Association. Dues, tournament fees and luncheon fees shall not be refunded nor prorated under any circumstance.
ARTICLE VIII AMENDMENTS
Amendments to the Constitution and By-Laws may be made at any membership meeting at which a quorum, as defined in the
Constitution, is present. The Constitution and By-Laws may be amended by a two-thirds majority vote of those present and
voting, provided the membership has been informed in writing of the amendments to be presented thirty days in advance of the meeting.
ARTICLE IX MEMPHIS AREA WOMEN’S GOLF ASSOCIATION
The RLGA President will choose two members to represent RLGA in the Memphis Area Women’s Golf Association (MAWGA).
ARTICLE X 18-HOLE LADIES INTERCLUB GOLF ASSOCIATION
In accordance with the Constitution and By-Laws of the 18-Hole
Ladies Interclub Golf Association (“Interclub”), RLGA will have two representatives on the Board of Directors of Interclub. The
incoming Interclub President shall appoint one representative and the other representative shall be chosen by RLGA’s Interclub members. The incoming Interclub President’s appointed representative shall be responsible for convening RLGA’s interclub members to select RLGA’s second representative by October 31.
ARTICLE XI AUTHORITY
The rules contained in Roberts Rules of Order Revised shall govern the Association in all cases to which they are applicable and insofar as they are not inconsistent with the By-Laws.
